Constitution

The Constitution and Bylaws of CSEA3 serve as the guiding framework for our operations, governance, and member responsibilities. All members are expected to uphold the principles outlined in these documents to ensure transparency, fairness, and effective representation.

Constitution of the Central and Southern European Allergy and Asthma Alliance (CSEA3)​

Preamble

We, the representatives of national and regional societies, organizations, and experts dedicated to the advancement of scientific research and patient care in the fields of allergy, asthma, and related conditions, hereby establish the Central and Southern European Allergy and Asthma Alliance (CSEA3) to unite efforts, exchange knowledge, and improve the quality of life for patients in the Central and Southern European region.

Article 1: Name

The name of the organization shall be the Central and Southern European Allergy and Asthma Alliance (CSEA3).

Article 2: Objectives

The objectives of the CSEA3 are as follows:

  1. Collaboration and Integration: To foster collaboration between national societies, institutions, and professionals from the Central and Southern European region, promoting integration of efforts in allergy and asthma research, education, and patient care.
  2. Scientific Research: To support, promote, and disseminate high-quality scientific research in the areas of allergy, asthma, immunology, and related fields to improve clinical practice and therapeutic approaches.
  3. Patient Care and Education: To enhance the quality of patient care by promoting best clinical practices, providing education and training to healthcare professionals, and advocating for patient-centric policies and programs.
  4. Capacity Building: To improve regional capacity through training programs, workshops, seminars, and conferences that equip healthcare professionals with the latest scientific knowledge and practical skills.
  5. Public Awareness and Advocacy: To increase public awareness of allergy and asthma, their prevention, and management, and to advocate for policies that improve the overall health and well-being of individuals affected by these conditions.
  6. International Collaboration: To establish partnerships and collaborations with global organizations, including the International Union of Immunological Societies (IUIS), World Health Organization (WHO), and other international bodies, to align regional efforts with global standards and advancements in research and patient care.
Article 3: Membership
  1. Eligibility: Membership is open to national and regional societies, organizations, and institutions involved in the fields of allergy, asthma, immunology, and related sciences.
  2. Categories of Membership:
    • Full Members: National societies or organizations that are officially recognized in their countries and actively involved in allergy and asthma research and care, that signed an agreement with CSEA3.
    • Associate Members: Organizations, institutions, or individuals working in related fields who wish to participate in the activities of CSEA3.
    • Honorary Members: Individuals or organizations who have made significant contributions to the field of allergy and asthma in the region or internationally.
  3. Application Process: Societies and organizations wishing to become members must submit a formal application to the General Assembly, which will vote on acceptance.
Article 4: Governance
  1. General Assembly:
    • The General Assembly shall consist of all CSEA3 members. Members with voting rights are full members as defined in Article 3.
    • It shall meet at least once every two years to set policy directions, approve budgets, and make key decisions related to the organization’s mission.
    • The General Assembly shall retain ultimate authority over the decisions of the CSEA3.
  2. Leadership:
    • President:
      • The President is nominated by the Executive Committee from its members delegated by the CSEA3 full members.
      • The President of CSEA3 shall serve a rotating term of one year, following the Executive Committee delegate of each full member in turn. This ensures that each participating society gets an equal opportunity to provide leadership.
      • The President will represent CSEA3 externally, uphold its mission, and serve as the figurehead in official matters. However, operational duties shall be coordinated by the Director (see below).
    • Executive Committee:
      • The Executive Committee shall be comprised of:
        • The President of CSEA3 (as described above).
        • One designated representative from each full member society (who will serve as ex-officio members).
        • The Chairs of all standing committees.
        • The Director.
      • The role of the Executive Committee is to make strategic decisions and oversee the execution of policies and programs set forth by the General Assembly.
  3. Decision-Making:
    • The Executive Committee will guide the organization’s policies and activities.
    • Strategic decisions will be made collaboratively by the Executive Committee and the Director.
    • In cases where major changes or issues arise, the General Assembly will be convened for discussion and final approval, but the day-to-day operations will be handled by the Director and the Executive Committee.
  4. Committees:
    • Scientific Committee: Focused on coordinating and promoting research efforts in allergy, asthma, and related fields.
    • Patient Care and Outreach Committee: Focused on improving patient care through best practices, education, and clinical guidelines.
    • Advisory Committee: Provides independent, expert guidance to the Executive Committee and General Assembly on strategic, scientific, and operational matters, including governance, ethics, partnerships, and policy. It may recommend topics for consideration by the Executive Committee or General Assembly.
    • Education and Training Committee: Focused on developing and implementing educational programs for healthcare professionals.
Article 5: Financial Resources
  1. Sources of Funding: The CSEA3 shall generate funds through the following means:
    • Donations and sponsorships from pharmaceutical companies, foundations, and other organizations.
    • Revenue from conferences, workshops, and other educational events.
  2. Financial Management:
    • The Director shall oversee the finances of the organization, with annual financial reports provided to the General Assembly.
    • Funds shall be used exclusively for the operational activities of CSEA3, including research support, education, and regional health programs.
  3. Auditing:
    • The financial accounts of CSEA3 shall be audited annually by an independent auditor and the results shall be presented to the General Assembly.
Article 6: Meetings and Conferences
  1. Annual Conference: The CSEA3 will organize an annual conference to provide a platform for scientific exchange, networking, and continuing education for healthcare professionals across the region.
  2. Regional Meetings: CSEA3 will host regional workshops and training events to support local and regional professional development.
  3. General Assembly Meetings:
    • The General Assembly will meet biennially or as required, with additional meetings held as necessary.
    • Special meetings can be called by the Executive Committee or by a petition of a majority of full members.
Article 7: Amendments

This constitution may be amended by a two-thirds majority vote of the General Assembly. Any member society or organization may propose amendments, which must be submitted in writing to the Executive Committee at least three months before the General Assembly.

Article 8: Dissolution

In the event of the dissolution of the CSEA3, any remaining assets shall be donated to a charity or organization dedicated to allergy, asthma, or related healthcare research and patient care, as determined by the General Assembly.
